1. Definitions
a) "Voiceovers Ltd", also referred to as "We", is a UK company with registered address 24 Ford Park Road, Plymouth, PL4 6RD.
b) The term "the website" shall mean "www.voiceovers.co.uk"
b) The term "subscriber" shall mean voice-talent who have paid to be featured on the website.
c) The term "visitor" shall mean producers or any visitors who use the data contained on the Voiceovers.co.uk website.
2. Acceptance of terms and conditions
a) These terms and conditions should be read before submitting an application to become a subscriber. By submitting an application, you are agreeing to the terms and conditions outlined here.
b) These terms and conditions should also be read an understood by visitors who choose to use the data contained on the website. By choosing to use the data, you are agreeing to the Terms and conditions outlined here.
3. Subscribers responsibilities - general
a) Only to use contact names and addresses supplied on the website for the purposes of investigating the booking of Voice talent for voice talent services. It is extremely forbidden for contact details to be used to offer any services (whether for sale or for free) to subscribers. We reserve the right to ask subscribers if they are receiving such contact and may take further action.
b) To contact Voiceovers Ltd by email (using the address found on the top of our website) if you wish to pass non-booking important information or offer services to our subscribers. We reserve the right to pass on the information to our subscribers as we deem appropriate.
c) Not to commit any action, or breach which has the effect of bringing Voiceovers Ltd into disrepute.
d) Not to perform any action which will result in the reduced performance of Voiceovers Ltd's server to the detriment of other users.
e) Not to link to any files contained on Voiceovers.co.uk (including audio files) without prior written (emailed) consent by Voiceovers Ltd.
f) Not to download or distribute any files on the Voiceovers.co.uk website unless for the use of investigating the booking of voice talent for voice talent services.
g) To accept that information contained on the website may be inaccurate or out of date.
4. Subscribers responsibilities
a) Only to request to upload material while subscriber has legal and beneficial rights to such material or, as the case may be, in accordance with the restrictions and permission of all persons or bodies entitled to restrict the copying and disclosure of such material. Demo audio remains the property of the subscriber and Voiceovers Ltd accept no responsibility by hosting it.
b) Not to request to upload any material which is illegal under the laws of England and Wales and or the laws of the subscribers country. It is the subscribers responsibility to ensure any audio meets the compliance of any governing body, and applicable conditions of The Broadcasting Act 1990, the Radio Authority codes, Advertising Acts, and other acts which govern the transmission of audio by way of "cable" or Internet at the time of writing and in the future.
c) Not to request to upload any material, or modify website text which in the opinion of Voiceovers Ltd is contrary to public decency or morality. Or which Voiceovers Ltd in their absolute discretion thinks is inappropriate.
d) To inform Voiceovers Ltd to remove material if they discover that any of the terms here have been breached.
e) Not to give permission for third parties to link to audio hosted by Voiceovers Ltd.
f) Not to copy or install files generated by Voiceovers.co.uk on another server or give permission to a third party to do so.
g) Not to submit demo audio mentioning known company names for which the subscriber does not attribute as previous clients- without clearly informing Voiceovers Ltd.
h) To inform Voiceovers Ltd if subscriber details are inaccurate or out of date.
5. Copyright information
a) All files designed and generated on behalf of the subscriber shall remain the copyright of Voiceovers Ltd.
b) All submission of information to Voiceovers Ltd for newsletter inclusion by the subscriber shall be under Voiceovers Ltd copyright.
6. Limitation of liability
a) For the avoidance of doubt Voiceovers Ltd has no obligation duty or liability in contract, tort for breach of statutory duty or otherwise beyond that a duty to exercise reasonable skill and care.
b) In any event in no circumstances shall Voiceovers Ltd be liable in contract, tort (including negligence or breach of statutory duty) or otherwise for loss (whether direct or indirect) of profits, business or anticipated savings or for any indirect or consequential loss whatever.
c) In any event Voiceovers Ltd's liability in contract, tort (including negligence or breach of statutory duty) or otherwise arising by reason of or in conjunction with this contract or howsoever otherwise shall be limited to the charges due under this contract.
d) In any event, and in no circumstance shall Voiceovers Ltd be liable in tort contract (including negligence or breach of statutory duty) or otherwise for loss (whether direct or indirect) arising from the content of any information placed by the subscriber onto the service provided by Voiceovers Ltd.
e) In any event + in no circumstances shall Voiceovers Ltd be liable in contract, tort (including negligence or breach of statutory duty) or otherwise for loss (whether direct or indirect) of profits, business or anticipated savings or for any indirect or consequential loss whatever. By the failure of, or any problem experienced by the server.
f) Each provision of this condition is to be construed as a separate limitation applying and surviving even if for any reason one or other of the said provisions is held inapplicable or unreasonable in any circumstances.
g) In any event, and in no circumstance shall Voiceovers Ltd be liable in tort contract (including negligence or breach of statutory duty) or otherwise for loss (whether direct or indirect) arising from the content of any information placed by a visitor onto the service provided by Voiceovers Ltd.
7. Indemnity
a) Without prejudice to any other rights or remedies which Voiceovers Ltd may have the subscriber shall indemnify Voiceovers Ltd against any loss or expense sustained by reason of any breach of this contract and any actions proceedings claims or demands in any way connected with this contract brought on by or threatened against Voiceovers Ltd by a third party which are caused by or arise from any act of Voiceovers Ltd carried out to pursuant to the instructions of the subscriber.
b) The subscriber shall indemnify Voiceovers Ltd against any actions proceedings claims or demands in any way connected with this contract brought or threatened against Voiceovers Ltd by a third party which are caused by or arise from any act of Voiceovers Ltd carried out pursuant to the instructions of the subscriber.
8. Subscriber accounts
a) Accounts shall be paid not later than 30 days after the date of invoice. Voiceovers Ltd reserves the right to suspend or remove websites if payment is not received. Payment covers an annual check-up or intial setup of the subscriber website and cannot be refunded.
9. Warranties and Indemnities
The subscriber warrants and undertakes that:
a) He will be responsible for obtaining and paying for all necessary licenses and consents for the Internet publication of any audio copyright material contained or the inclusion of any person and/or material in the submitted audio.
b) No audio will breach the copyright or other rights of or be defamatory of any third party.
c) He will indemnify and keep Voiceovers Ltd indemnified against all actions, proceedings, costs, damages, expenses, penalties, claims, demands and liabilities arising from any breach of the above warranties or in any manner whatsoever in consequence of the use recording or Internet publication of any audio or matter supplied by or published for the subscriber.
10. Subscriber cancellations
a) Any subscriber website entry may be cancelled by either side at any time.
b) Voiceovers Ltd reserve the right to announce closure of the Voiceovers Ltd website at any time. In such event, new applications will be suspended and the website will remain active for a year.
c) Voiceovers Ltd reserve the right not to accept new applicants or offer renewals to existing voices without explanation, though reasons typically include if demos/information are stagnant and not replaced after 12 months of us raising the issue, actions or conflict of interests we deem may damage us or our reputation, if a voice is rude or unnecessarily argumentative/abusive to anyone in our team.
11. Termination of this contract by Voiceovers Ltd
a) If the subscriber does not pay any charge when due or breaks this contract in any other way Voiceovers Ltd can terminate the contract immediately and without the requirement of prior notification.
b) On termination under this paragraph Voiceovers Ltd will remove all materials held on Voiceovers Ltd's computer and remove all privileges entitled to the subscriber.
12. Termination of the contract by the Subscriber
a) The subscriber can terminate this contract by giving 30 days notice in writing to the following address- Voiceovers Ltd, PO Box 326, Plymouth PL4 9YQ or via email to info@voiceovers.co.uk
b) On receipt of the aforementioned written notice the subscriber can choose to remain on the website until his subscription expiry date, or request for his details to be removed. A pro-rata refund will not be given to the subscriber as money paid covers initial setup of the website or annual check-up.
13. Changes of rates and conditions
The Company reserves the right to change any rates, classifications and any of these terms and conditions by not less than 28 clear days notice and in the event of such a change, the rates payable and the terms and conditions applicable shall be those in force at the time of subscription or purchase.
14. Matters beyond Voiceovers Ltd's reasonable control
Voiceovers Ltd is not liable for any breach of this contract where the breach was caused by Act of God, insurrection or civil disorder, war or military operations, national or local emergency, acts or omissions of government, highway authority or other competent authority, Voiceovers Ltd compliance with any statutory obligation or an obligation under a statue, industrial disputes of any kind (whether or not involving Voiceovers Ltd employees), fire, lightening, explosion, flood, subsidence, weather of exceptional severity, acts of omissions of persons for whom Voiceovers Ltd is not responsible (including in particular other telecommunication service providers) or any other cause whether similar of dissimilar outside Voiceovers Ltd reasonable control.
Voiceovers Ltd cannot take any responsibility for the accuracy of information contained on the Voiceovers.co.uk website or on pages it links to.
15. Proper Law
This contract is to be treated as made in England according to English Law and subject to the jurisdiction of the English courts.
